1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Doculent Ltd. ("Doculent," "we," "us," or "our"). By accessing or using our website at doculent.io, our platform, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms.
If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, A DISCLAIMER OF WARRANTIES, AND AN ARBITRATION AGREEMENT.
2. Description of Services
Doculent provides an AI-powered and human-in-the-loop (HITL) document automation platform that enables organizations to process, extract, classify, and manage documents and data. The Services may include, but are not limited to:
- Intelligent document processing and data extraction.
- AI-assisted document classification and routing.
- Human-in-the-loop review and verification workflows.
- Document management and storage capabilities.
- API access for integration with third-party systems.
- Analytics, reporting, and audit trail functionality.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice when practicable. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
3. Account Registration and Security
To access certain features of the Services, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Maintain the security of your password and account credentials.
- Accept all responsibility for activity that occurs under your account.
- Immediately notify us of any unauthorized use of your account or any other breach of security.
You are responsible for all activities that occur under your account, whether or not you have authorized such activities. Doculent shall not be liable for any loss or damage arising from your failure to comply with these security obligations.
4. Fees and Payment
4.1 Pricing
You agree to pay all fees associated with your selected plan as described on our pricing page or in a separate order form. All fees are quoted in U.S. Dollars unless otherwise stated and are non-refundable except as expressly provided in these Terms.
4.2 Billing
For subscription-based Services, billing occurs in advance on a monthly or annual basis, depending on your selected plan. You authorize Doculent to charge your designated payment method for all applicable fees.
4.3 Taxes
All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for all applicable taxes, except for taxes based on Doculent's net income.
4.4 Overdue Payments
If any amount owed is more than 30 days overdue, Doculent may, without limiting its other rights and remedies, suspend or terminate your access to the Services until such amounts are paid in full. Overdue balances may accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower).
5. Customer Data and Intellectual Property
5.1 Customer Data
"Customer Data" means any data, documents, files, content, or information that you upload, submit, or transmit to or through the Services. You retain all right, title, and interest in and to your Customer Data. By using the Services, you grant Doculent a limited, non-exclusive, worldwide license to process your Customer Data solely for the purpose of providing the Services to you.
5.2 Doculent Intellectual Property
The Services, including all software, algorithms, models, interfaces, documentation, and all related intellectual property rights, are and remain the exclusive property of Doculent and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services as expressly set forth herein.
5.3 AI and Machine Learning
Doculent may use anonymized, aggregated, and de-identified data derived from Customer Data to improve its AI models, algorithms, and Services. Such data shall not identify you or any individual. You acknowledge and agree that Doculent owns all intellectual property rights in such improvements.
5.4 Feedback
If you provide Doculent with any suggestions, ideas, enhancement requests, or other feedback ("Feedback"), you hereby assign to Doculent all right, title, and interest in such Feedback. Doculent is free to use Feedback without any restriction or obligation to you.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or transmit any malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to the Services, other accounts, or computer systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services.
- Use the Services for competitive analysis or to build a competing product or service.
- Resell, sublicense, or otherwise make the Services available to third parties except as expressly permitted.
- Process data in violation of applicable data protection laws, including the GDPR and CCPA.
- Use the Services to store or process data subject to ITAR, EAR, or similar export control regulations, unless expressly authorized by Doculent.
Doculent reserves the right to investigate and take appropriate action against anyone who, in Doculent's sole discretion, violates this provision, including without limitation, removing offending content, suspending or terminating the account of such violators, and reporting to law enforcement authorities.
7. Service Level and Availability
Doculent shall use commercially reasonable efforts to maintain the availability of the Services. Specific service level commitments, where applicable, are set forth in a separate Service Level Agreement (SLA) incorporated by reference into these Terms or provided as part of your subscription plan.
Scheduled maintenance windows will be communicated in advance. Doculent shall not be liable for any downtime or unavailability caused by circumstances beyond its reasonable control, including but not limited to force majeure events, internet service provider failures, or third-party service outages.
8. Confidentiality
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information (but no less than reasonable care). "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the receiving party.
- Was already known to the receiving party without obligation of confidentiality.
- Is independently developed by the receiving party without use of the disclosing party's Confidential Information.
- Is rightfully received from a third party without restriction on disclosure.
9. Data Protection and Privacy
Our collection and use of personal information is governed by our Privacy Policy. Where Doculent processes personal data on your behalf, the terms of our Data Processing Agreement shall apply.
Doculent maintains SOC 2 Type II certification and complies with applicable ETSI standards for trust services. Our security practices are designed to protect the confidentiality, integrity, and availability of Customer Data.
10. Warranties and Disclaimers
10.1 Mutual Warranties
Each party represents and warrants that:
- It has the legal power and authority to enter into these Terms.
- It will comply with all applicable laws and regulations in its performance under these Terms.
10.2 Doculent Warranty
Doculent warrants that the Services will perform substantially in accordance with the applicable documentation during the subscription term. If the Services do not conform to this warranty, Doculent will, at its option, use commercially reasonable efforts to correct the non-conformity or provide a workaround.
10.3 Disclaimer
EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DOCULENT HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
DOCULENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THE AI-POWERED FEATURES OF THE SERVICES ARE PROVIDED FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY. DOCULENT DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT. CUSTOMERS ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ALL OUTPUTS BEFORE RELYING ON THEM FOR ANY PURPOSE.
11. Limitation of Liability
11.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCULENT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO DOCULENT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.3 Exceptions
The limitations in this Section 11 shall not apply to: (a) either party's breach of its confidentiality obligations; (b) either party's indemnification obligations; (c) the Customer's obligation to pay fees owed; or (d) liability that cannot be limited or excluded by applicable law.
12. Indemnification
12.1 By Customer
You agree to indemnify, defend, and hold harmless Doculent and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services in violation of these Terms.
- Your Customer Data or the processing thereof.
- Your violation of any applicable law, regulation, or third-party right.
- Any dispute between you and any third party relating to the Services.
12.2 By Doculent
Doculent shall indemnify, defend, and hold harmless the Customer from and against any third-party claim alleging that the Customer's authorized use of the Services infringes a third party's intellectual property rights, provided that the Customer promptly notifies Doculent in writing, gives Doculent sole control of the defense and settlement, and provides reasonable cooperation.
13. Term and Termination
13.1 Term
These Terms are effective as of the date you first access or use the Services and continue until terminated. Subscription terms are as specified in your order form or subscription plan.
13.2 Termination for Convenience
Either party may terminate these Terms by providing 30 days' written notice to the other party. Termination of a subscription during a billing period will not result in a prorated refund unless otherwise specified in your plan.
13.3 Termination for Cause
Either party may terminate these Terms immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure such breach within 30 days of receiving notice; or (b) becomes insolvent, files for bankruptcy, or ceases operations.
13.4 Effect of Termination
Upon termination: (a) your right to access and use the Services will immediately cease; (b) you shall pay any outstanding fees; (c) Doculent will handle Customer Data in accordance with our Data Processing Agreement; (d) all provisions that by their nature should survive termination shall survive, including Sections 5, 8, 10, 11, 12, 14, and 15.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, the parties shall attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation for a period of at least 30 days from the date of written notice of the dispute.
14.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, that cannot be resolved through informal negotiation shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Sofia, Bulgaria. The language of the arbitration shall be English.
14.3 Class Action Waiver
YOU AND DOCULENT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.4 Exception for EU/EEA Users
If you are located in the EU/EEA, nothing in this Section 14 shall deprive you of mandatory consumer protections under the laws of your country of residence, or of the right to bring claims in the courts of your country of residence.
15. General Provisions
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of laws provisions. This choice of law does not affect the applicability of mandatory consumer protection laws in your jurisdiction.
15.2 Entire Agreement
These Terms, together with the Privacy Policy, DPA, and any order forms or service-specific terms, constitute the entire agreement between you and Doculent regarding the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings.
15.3 Amendments
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, for significant changes, by sending notice to the email address associated with your account at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes.
15.4 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
15.5 No Waiver
The failure of either party to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.6 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Doculent's prior written consent. Doculent may assign these Terms without restriction. Any attempted assignment in violation of this Section shall be null and void.
15.7 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, labor disputes, internet disruptions, or utility failures.
15.8 Notices
